Role Overview

The Vice President will play a significant role in originating, executing, and managing ECM, M&A and strategic advisory mandates across the TMT (tech, media, telecom, digital infrastructure) sector in India.

The role requires deep sector expertise, strong financial modeling skills, client relationship management, and the ability to drive complex transactions from pitch to closure.

The VP will work closely with clients, ie corporates, private equity funds and venture capital funds.

Key Responsibilities

1. Deal Origination & Business Development

Identify and originate M&A opportunities in:

Technology: consumer tech, enterprise tech (including ITeS), software, fintech, AI related, other verticals

Telecom: connectivity providers, data centre platforms, tower platforms, fiber operators

Media: content players, distribution platforms

Develop relationships with:

Corporates (founders, CXO, CFO, head of strategy, head of IR)

Private equity funds

Venture capital funds

Pension funds and sovereign wealth funds

Multinational TMT players

Prepare and deliver high-quality pitch materials and strategic presentations to clients.

2. Transaction Execution (M&A & ECM)

Lead end-to-end execution of transactions, including:

Financial valuation and modeling (DCF, LBO, comparable transactions, trading comps)

Business and industry sections drafting (positioning frameworks, definition of industry sector, strengths and strategies)

Deal structuring (share sale, asset sale, platform deals, joint ventures)

Due diligence coordination (financial, legal, technical, tax, ESG)

Negotiation of term sheets and transaction documents

Coordination with legal counsel, consultants, and auditors

Manage data rooms and bidder process

Prepare management presentations, roadshow decks, and investment memorandums (IMs)

3. Sector Expertise – TMT

Demonstrate strong understanding of: key segments within TMT, key sector drivers (eg digitization, cloud and AI adoption etc), structures and monetization strategies, capital structure dynamics by sub-sector, industry landscape awareness and ideation.

4. Client Relationship Management

Act as a trusted advisor to senior management and founders

Build long-term relationships with investors

Independently manage client interactions and negotiations

Represent the firm in industry conferences and forums

5. Team Mentorship

Lead and mentor Associates and Analysts

Review financial models, pitch decks, and deal materials

Ensure quality control and compliance with firm standards

Allocate work efficiently across the team

 

Required Qualifications & Experience

Education

MBA (Tier 1 school preferred) or CA + MBA or CFA

Experience: 8–10 years in Investment Banking (M&A) or PE/VC in TMT/digital infra with strong deal experience

Must-Have Skills

Advanced financial modeling

Excellent communication and negotiation ability

Ability to handle high-pressure transactions

Deep understanding of Indian TMT landscape

Pro-tip : Familiarity with AI-enabled tools is an advantage.
