  • HSBC's Equity Capital Markets (ECM) team in India is seeking an Associate to join its Mumbai-based practice within Capital Market and Advisory. The role offers exposure to the full spectrum of ECM activity from origination and pitching through to live transaction execution — across products including IPOs, Qualified Institutional Placements (QIPs), preferential allotments, block trades, rights issues, amongst others. The Associate will work closely with senior bankers, clients, and cross-functional teams including legal, compliance, syndicate, and research.

**Key Responsibilities**

*Pitch & Business Development*

  • The Associate will be responsible for preparing high-quality pitch books, discussion materials, and thematic sector presentations for client meetings and new business pursuits. This includes building valuation analyses (trading and transaction comps, DCF, sum-of-the-parts), structuring equity story narratives, and benchmarking issuers against relevant peer groups. The Associate is expected to take ownership of drafting and iterating on materials and working with global teams.

*Transaction Execution*

  • On live mandates, the Associate will support end-to-end execution across all ECM product types. Responsibilities include coordinating due diligence processes, preparing and reviewing offer documents (DRHPs, prospectuses, placement memoranda), liaising with legal counsel and auditors, and managing transaction timelines and workstream trackers. The Associate will play an active role in investor targeting, preparation of investor presentation materials, roadshow logistics, and book-building support in coordination with the syndicate desk.

*Regulatory & Compliance*

  • The Associate will ensure that all transactions and client interactions are conducted in full compliance with applicable SEBI regulations — including the ICDR Regulations, LODR Regulations, PIT Regulations, and Takeover Code — as well as HSBC's internal policies on conflicts of interest, information barriers, and client classification. The Associate will support the preparation and timely filing of all regulatory submissions, coordinate with the compliance function on wall-cross approvals and insider list management, and maintain accurate documentation throughout the transaction lifecycle.

*Internal Processes & Coordination*

  • The Associate will manage internal approval processes. This includes preparing internal memos and deal approval submissions, maintaining deal databases and tombstone records, and supporting the team's contribution to internal reporting and pipeline tracking. The Associate is expected to act as a key coordination point between the ECM team and internal stakeholders including legal, finance, operations, and senior management.

**Candidate Profile**

  • Candidates should have at least three years of relevant experience in investment banking, equity capital markets, or a related financial services role. Strong financial modelling skills, familiarity with Indian capital markets regulation, and the ability to produce high-quality written materials under time pressure are essential. The ideal candidate will demonstrate sound business judgment, attention to detail, and the ability to manage multiple workstreams simultaneously in a fast-paced, client-facing environment.
