HSBC UK Leveraged Finance is a national business consisting of almost 150 colleagues, covering c.350+ clients and a diverse range of Private Equity (“PE”) relationships. The business is a market leader, consisting of four key areas of expertise: Origination, Execution, Financial Sponsor Coverage & Client Coverage. The customer base is varied and can range in size from a turnover of typically £100m to more than £2bn. The team is sector agnostic, but most customers are categorised by their Private Equity (PE) ownership. Lending money to support PE firms with Leveraged Buyouts is often complex in nature and therefore subject to sophisticated financial modelling, structuring and downside sensitivities.
HSBC UK Leveraged Finance (“LF”) is seeking an experienced individual to join them as an Associate Director.
The role of the Associate Director is to assist in the origination and lead the execution of bespoke lending solutions that support and enhance investment and acquisitions made by private equity firms (Sponsors) in UK headquartered companies.
The Leveraged Finance team will originate the financing opportunity and then structure the facilities, oversee the due diligence process, obtain the necessary internal approvals including credit approval and negotiate the legal documentation that enables the arranging of the debt financing to support a private equity led investment or acquisition.
In this role, you will:
- Proactively and frequently be involved in the UK Mergers & Acquisitions (M&A) market, acting as a senior ambassador for HSBC and originating appropriate debt financing opportunities
- Lead or assist in negotiations, discussions, pitches with Sponsors, M&A advisers, clients and prospective clients and alongside team members share significant experience of managing complex often international transaction processes
- Work closely as part of a team to structure and deliver robust credit facilities for proposed transactions, identifying and mitigating key risks that will secure and protect the bank while meeting client needs
- Manage and lead deal teams and work closely with other Leveraged Finance or other business teams to ensure transactions are appropriately resourced and deadlines and key milestones are met
- Set expectations, share best practice and manage, monitor, coach and develop the junior members of the team and others to ensure that they maximise their performance, meet the required standards, and continuously develop their capabilities and experience
- Encourage constructive cross-country and cross-business teamwork that enables delivery of the financial growth plan for the UK business, whilst promoting and demonstrating the values of HSBC and its Charter.
To be successful in this role you will have:
- Experience working in a Commercial Banking environment is essential.
- Experience in either advising or providing financing in M&A transactions, particularly those involving private equity investment, with a developing network of contacts and associations with the M&A market, private equity or corporate clients.
- Experience of using various credit analysis techniques, insight into lending and extensive business knowledge to lead and shape and negotiate complex lending solutions is essential.
- A successful track record of delivering complex projects and/or programmes, managing other team members and utilising appropriate techniques and tools to ensure and measure success
- Both spoken and written communication skills with experience of analysing and summarising high volumes of business and transactional information under significant time pressure, whilst adapting your style and approach to the audience and message to be delivered
- Experience of using relevant software packages, i.e. Microsoft Excel, PowerPoint, Word
The role is hybrid and will be based in the Landmark Building in Manchester. The role requires an element of travel for client visits, primarily around the North West of the UK. It is therefore important that the successful candidate is within an easily commutable distance of Manchester but can travel as required.

Qualifications
This role is subject to the requirements of Certification Regime, set out by the Financial Conduct Authority (FCA). Candidates must either have attained the CISI Level 3 Certificate in Corporate Finance, or should be committed to completing this qualification within 1 year of being in role.
