We are pleased to offer an exciting opportunity to join Transaction Management. An Associate Director within the Transaction Management team will be involved with all aspects of the documentation process for corporate and project finance transactions, primarily supporting the Infrastructure, Energy and Project Finance team.
From early stage documentation (such as term sheets) through to the negotiation of key finance documents (such as facility agreements), an Associate Director will be working closely with our top UK CMB clients and key internal stakeholders such as Infrastructure, Energy and Project Finance, Coverage, Origination, Sustainable Finance amongst others whilst also being the main point of contact for external lender counsel ensuring the successful completion of the relevant loan transaction within the requisite timeframes.
As a Transaction Manager, you will be required to run multiple loan processes enabling you to gain a better understanding of the latest market trends. This role also offers candidates an opportunity to negotiate certain key commercial terms and other legal aspects within facility agreements more broadly whilst also providing you with an excellent opportunity to build out your professional network (internally and externally).
The Infrastructure, Energy and Project Finance team, whom the successful candidate will be working closely with, is responsible for large number of subs-sectors including renewable energy, energy transition, power & utilities, waste to energy, transport infrastructure, and digital infrastructure; and the construction and building materials sectors. Part of the teams’ growth is expected to come from the energy sector and transition including new fuels and technologies including for example hydrogen, carbon capture, new technology in renewable energy, biofuels and batteries, and part of the role will be to help support their adoption.
In this role, you will:
- Lead all aspects of loan execution (bilateral or multi-banked loans) including advising on the structure of a transaction, explaining common risks (both commercial and legal) associated with complex loan transactions.
- Support UK CMB clients and advising the above-mentioned stakeholders by interpreting legal advice/concepts in respect of financing arrangements and explaining associated risks and mitigants.
- Negotiate and agree key terms embedded within term sheets and LMA facility agreements, ensuring compliance with HSBC’S internal policy, relevant credit approvals and aligning with common market positions.
- Participate in all parties calls covering key commercial issues alongside legal and policy points.
To be successful in this role you should meet the following requirements:
- Extensive knowledge of LMA UK’s loan documentation and the syndicated loans market.
- PQE experience in the infrastructure and project finance sector is advantageous.
- The ability and the confidence to lead the documentation process for LMA facilities from both a commercial and legal perspective and advise internal stakeholders on key issues.
- A strong desire to develop structuring skills and lead negotiations on complex infrastructure and project finance transactions such as data centres, windfarms, battery storage, solar farms, carbon capture financing is preferable.
- Excellent communication skills written and verbal, with the ability to influence others.
The base location for this role is London (Queen Victoria Street) with a hybrid working pattern.
