Job description

This function leads, develops, and manages corporate governance throughout the Group. As principal advisors to the boards of directors on corporate governance matters, the team also holds responsibility for establishing and managing stock exchange listings; directing and managing shareholder meetings and equity raisings, and representing Group interests in the development of laws and regulations.

 

Principal Accountabilities:

 

  • Lead and manage the Company Secretarial responsibilities within Mauritius.
  • Advise the Boards of Directors of HSBC Bank (Mauritius) Limited (HBMU) and the senior management team of HSBC Mauritius (the branch) through HBMU Chairman and HSBC Mauritius CEO respectively on all corporate governance matters.
  • Act as the central point for Mauritius Businesses and Functions in dealing with Legal risks and matters, assisting the business lines seeking legal advice and coordinating with external lawyers, where necessary.
  • Provide support on all Company Secretary matters for the various HSBC vehicles incorporated in Mauritius.
  • Provide support to minimize the Banks’ exposure to litigations, regulatory warnings, fines, reputational risks by monitoring and being familiar with the developments in the legal systems affecting the bank.
  • Successfully complete Anti-Bribery & Corruption, Anti-Money Laundering and Sanctions training and post-course assessment, as required. 

 

Role Requirements:

  • Qualified chartered secretary from CGI UK and law degree from any common Wealth Country.
  • Qualified Lawyer with significant working experience in the banking sector and as company secretary. Institute of Chartered Governance Institute (CGI UK) Qualification will be an advantage.
  • Leadership experience and an experienced strategic thinker.
  • Communication and inter-personal skills including the maintenance and development of relationships with Directors and Senior Executives.
  • Lateral thinker/Problem Solver with an ability to develop efficient and effective solutions to complex issues.
