We are currently seeking a high calibre professional to join our team as a Senior Legal Counsel, ECM and M&A, Corporate and Institutional Banking Legal .

 

The successful candidate will report to the Managing Associate General Counsel, Global Head of ECM and M&A, Corporate and Institutional Banking Legal and will be based in Hong Kong. 

 

This role sits within a team of 4 FTE and also works closely with the Head of Capital Markets Advisory South-East Asia in relation to international ECM and M&A activities undertaken by the business team in Singapore.

 

In this role you will:

  • Providing expert and strategic legal advice, guidance and support to ensure that legal and reputational risks of the ECM and M&A business are proactively identified and mitigated.
  • Assisting with the preparation, negotiation and review of legal documentation, from confidentiality agreements, engagement letters and term sheets through to transactional documentation.
  • Ensuring that the legal function serves as a proactive and strategic partner to the ECM and M&A businesses.
  • Being innovative and suggesting solutions that are pragmatic and commercially sound, in addition to being legally sound, aligned with HSBC’s strategy and within HSBC’s risk parameters.
  • Coordinating and managing relationships between internal and external stakeholders, businesses and support functions such as external clients, professional advisors (including key external law firms), bankers, compliance and risk functions.
  • Collaborating with internal lawyers across the Asia and Middle East region, providing support, leadership and subject matter expertise and guidance as required.
  • Providing legal input on local, regional and / or global legal projects.
  • Promoting the adoption of best practice and standards, including representing HSBC at industry associations (as required).
  • Monitoring major legislative changes and assessing the impact of such changes on HSBC’s business.

 

To be successful you will need:

  • Qualified lawyer with solid post-qualification experience of at least 10 years gained in a relevant jurisdiction, experience in international law firms and prior in-house experience highly valued.
  • Extensive knowledge and experience with legal and regulatory requirements and market practice for ECM transactions in Hong Kong, plus M&A mandates and transactions in Asia, international experience highly valued.
  • Ability to prioritise and to work under time pressure
  • Experience using legal generative AI platforms.
  • Strong oral and written communication and interpersonal skills
  • Lateral thinking/problem solving ability
