We are currently seeking a high calibre professional to join our team as a People Delivery Head (Merger & Acquisition) - 24 months Fixed Term Contract (Base Location: Hong Kong / UK)
Role purpose
To manage the large number of Merger & Acquisition (M&A) transactions (ongoing and future), a central M&A People team has been formed within People, Governance and Communications (PGC) to lead and deliver M&A transactions. The central team will ensure consistency of PGC approach to transactions, facilitate governance and approvals, change & risk management and deliver projects including due diligence and overall program management of delivery including resourcing for a project. The role holder will also be accountable to build M&A capability
The role holder will be an M&A specialist with a small team and will work closely with the Group M&A team, Business stakeholders, Communications, Specialist teams in PGC – Reward, ER, Learning, Tech, Operations and country & regional PGC teams to deliver best in class M&A outcomes.
The role holder will be responsible for institutionalising and scaling People delivery capability for M&A by defining ways of working, people metrics, collaborating across different stakeholders to finalise consistent frameworks that can be applied to transactions
Governance and Committee Memberships
The role holder will ensure all appropriate governance is followed in the delivery of a transaction. These governance requirements need to be managed across the value chain of a transaction commencing from 7.1A/NDA/Due diligence to 7.1B to signing of binding agreement to delivery of the project up to Day 1.
This accountability will require the role holder to interact with various committees/boards/Opco at a country/regional and Group level
Principal Accountabilities and Responsibilities
- Accountable for all people aspects of M&A transactions across the deal lifecycle, including acquisitions, divestitures, joint ventures, and strategic partnerships, ensuring seamless execution and alignment with business objectives.
- Accountable for overall delivery of a transaction by defining, resourcing and program management of a cross functional PGC workstream structure (Reward, Talent, ER, Communication, etc)
- Accountable for mobilizing cross functional PGC teams from all relevant areas (Rewards, ER, Talent etc.) for delivery and providing appropriate inputs across different stages of a transaction
- Advise leadership on people-related risks and opportunities during target evaluation and deal structuring.
- Accountable for managing all governance related requirements at the various stages of a deal (including but not limited to ADCO, REMCO, OPCO, Country/Regional Boards)
- Accountable for aligning PGC stakeholders on all governance/approval matters.
- Accountable for implementing ‘best in class’ M&A practices in delivery, governance and post implementation review of a transaction
- Challenge and influence PGC teams and business stakeholders to adopt ‘best in class’ frameworks and policies that support in delivering superior commercial outcomes for HSBC
- Represent People team in global M&A teams & forums
- Lead people input into preparation of Non-Binding Offer
- Accountable for mobilizing teams and finalizing HR due diligence for a transaction
- Accountable for identifying and highlighting key risks and align PGC & business stakeholders on Risk mitigation
- Lead and finalise resourcing discussions for PGC workstreams and serve as the point of contact for all people-related elements of a transaction
- Responsible for ensuring required inputs from PGC are added in SPA, TSA budget requirements
- Accountable for day 1 PGC Readiness in collaboration with respective People Heads
- Influence key stakeholders to deliver right people outcomes for the transaction
- Define people metrics to measure the success of a transaction particularly post deal outcomes for teams joining HSBC
- Track & report progress of different M&A transactions and highlight key risks to relevant PGC/business stakeholders
- Engaging & providing clear communication and progress updates to senior leadership and key stakeholders.
- Lead HR capability development in M&A processes, upskilling internal teams and building institutional knowledge for future transactions
- Lead review and upgrade HR M&A governance, playbooks, and frameworks for consistent global execution.
Leadership & Teamwork
- Lead and inspire a high-performing global team, fostering a collaborative work environment and promoting knowledge sharing.
- Lead critical go/no-go decisions based on data and evidence
- Delegate effectively while maintaining accountability for program milestones and outcomes
- Partner effectively with senior stakeholders across Business, PGC, Finance, COO and M&A
- Influence key stakeholders to deliver the right outcome for the transaction within the defined governance frameworks

- Act as a leader and SME for M&A Transactions
- Ability to set up teams and mobilise resources for a successful delivery of a transaction
Requirements
- SME in the HR delivery of M&A transactions in large complex organizations
- SME workforce cost modelling, synergy estimation and risk analysis related to M&A transactions.
- Program management expertise in setting up workstreams for successful delivery of a transaction
- A thorough understanding of Compensation, Benefits, Pension and Labor laws and impact on a transaction
- A thorough understanding of Key talent & leadership retention strategies; onboarding and succession planning in a transaction
- A thorough understanding of culture due diligence and pre and post deal interventions to enhance commercial outcomes
- A thorough understanding of all the governance requirements related to a transaction
- Transition Service Agreement management and Change management
- A thorough understanding of the HR tech and operations considerations in relation to migration/transfer of people data
- Understanding of different Regulatory and legal requirements related to M&A across countries (Work councils, transfer of employment rights, etc.)
- Experience in leading cross-functional teams
- Strong interpersonal skills and ability to manage large cross functional teams
