Global Legal plays an important role in protecting the Group’s reputation by helping to future-proof the organisation through robust legal risk and issue advisory. Responsible for providing comprehensive legal advice to senior management and all global businesses and functions, the team offers a diverse range of legal skills, jurisdictional experience, and practice specialisms across all countries and territories in which our businesses operate.

 

We are currently seeking a high calibre professional to join our team as a Managing Associate General Counsel – Global Head of ECM and M&A Legal, Corporate and Institutional Banking.

 

Role Overview

  • The successful candidate will report to the Deputy General Counsel, Regional Head of Legal, Corporate and Institutional Banking, Asia & Deputy General Counsel International and will be based in Hong Kong. 
  • The primary focus of the role is to lead the delivery of strategic and consistently high-quality legal support to the Global Equity Capital Markets and Global Mergers & Acquisitions teams that are located primarily in Hong Kong and Singapore. 
  • Day-to-day this entails supporting CIB senior management, bankers and transaction execution teams on a range of legal and transactional matters and playing a leading role on business and product specific governance committees and taking lead roles in business-led projects and initiatives. 
  • This will include direct management of 3 FTE in the team, plus any secondee(s), and broader leadership of lawyers supporting ECM and M&A transactions across Asia and the Middle East, with a particular focus on close collaboration and coordination of the lawyers supporting the relevant businesses in Hong Kong, India, Singapore and Dubai.

 

Principal responsibilities will include:

  • Managing and coordinating all ECM and M&A legal support across Asia and the Middle East, in addition to any global activities outside those regions.
  • Contributing to the broader leadership of CIB Legal as a member of the CIB Asia Legal Leadership Team, bringing strong leadership and active engagement to the leadership of the Asia and Middle East and Global CIB Legal team.
  • Senior leadership engagement and stakeholder management including Global Head of ECM, Head of Capital Markets Advisory Asia (investment banking), Head of M&A, key infrastructure leads and lead-MDs in key sites including Hong Kong, India, Singapore, China and Dubai.
  • Providing expert and strategic legal advice, guidance and support to ensure that legal and reputational risks of the ECM and M&A business are proactively identified and mitigated.
  • Coordinating and managing relationships between internal and external stakeholders, businesses and support functions such as external clients and advisors, relationship management bankers, compliance and risk functions.
  • Preparing, negotiating and reviewing various legal documents including confidentiality agreements (including consideration of conflicts of interest issues), engagement letters, mandates, underwriting agreements, pitch materials, term sheets, legal opinions and other transactional documents and agreements.
  • Managing relationships with key external law firms and participating in Industry groups in areas of subject matter expertise, representing HSBC.

Impact on the Business 

  • Support the strategic growth of the ECM and M&A businesses.
  • The accountable lawyer on all material legal issues in respect of the ECM and M&A business.
  • Manage, supervise and lead advisory and transactional legal support to the ECM and M&A business.
  • Provide proactive, high quality and strategic advice on a variety of legal, transactional/documentation, execution and structural matters.
  • Implement legal policies to ensure that the Group’s exposure to global legal risks is managed appropriately within jobholder’s areas of expertise.

 

Customers / Stakeholders

  • Senior leadership engagement and stakeholder management including Global Head of ECM, Head of Capital Markets Advisory Asia (investment banking), Head of M&A, key infrastructure leads and lead-MDs in key sites including Hong Kong, India, Singapore, China and Dubai.
  • Ensure relevant senior management are fully briefed on major issues arising in relevant business area, upcoming legal and regulatory changes and upcoming market practice and industry trends.
  • Build strong and collaborative relationships with key internal and external stakeholders, businesses and support functions.
  • Deliver fair outcomes for our customers and ensure own conduct maintains the orderly and transparent operation of financial markets.

  • Contribute to the broader leadership of CIB Legal as a member of the CIB Asia Legal Leadership Team.

Education and Relevant Experience 

  • Qualified Lawyer, minimum of 10-15+ years PQE.
  • Senior, qualified lawyer with solid post-qualification experience gained in a relevant jurisdiction.
  • Extensive knowledge and experience with legal and regulatory requirements and market practice for ECM transactions in Hong Kong, plus M&A mandates and transactions in HK, international experience highly valued.
  • Ability to prioritise and to work under time pressure.
  • Strong oral and written communication and inter-personal skills.
  • Lateral thinking/problem solving ability.
  • Experience leading a direct team lawyers and broader regional coordination and collaboration across lawyers supporting the ECM and M&A business.
