M&A Programme Lead - 24 Months Fixed Term Contract

We are currently seeking a high calibre professional to join our team as a M&A Programme Lead - 24 Months Fixed Term Contract.
To manage the large number of M&A transactions (ongoing and future), a central M&A People team has been formed within People, Governance & Communications (PGC) to lead and deliver M&A transactions. The central team will ensure consistency of PGC approach to transactions, facilitate governance and approvals, change & risk management and deliver projects including due diligence and overall program management of delivery including resourcing for a project. The role holder will also be accountable to build M&A capability
The role holder will be part of M&A specialist team that will work closely with the Group M&A team, Business stakeholders, Communications, Specialist teams in PGC – Reward, ER, Learning, Tech, Operations and country & regional PGC teams to deliver best in class M&A outcomes. The role holder will be responsible for delivering large M&As, institutionalising & scaling People delivery capability for M&A by defining ways of working, people metrics, collaborating across different stakeholders to finalise consistent frameworks that can be applied to transactions
In this role you will:
- Manage people aspects of key M&A transactions across the deal lifecycle, including acquisitions, divestitures, joint ventures, and strategic partnerships, ensuring seamless execution and alignment with business objectives.
- Lead overall delivery of key transactions by defining resourcing and program management of a cross functional PGC workstream structure (Reward, Talent, ER, Communication, etc)
- Mobilise cross functional PGC teams from all relevant areas (Rewards, ER, Talent etc.) for delivery and providing appropriate inputs across different stages of a transaction
- Advise leadership on people-related risks and opportunities during target evaluation and deal structuring.
- Support in managing all governance and reporting related requirements at the various stages of a deal (including but not limited to ADCO, REMCO, OPCO, Country/Regional Boards)
- Align PGC stakeholders on all governance/approval matters.
- Support in implementing ‘best in class’ M&A practices in delivery, governance and post implementation review of a transaction
- Enable PGC teams and business stakeholders to adopt ‘best in class’ frameworks and policies that support in delivering superior commercial outcomes for HSBC
- Represent People team in global M&A teams & forums
- Responsible for ensuring required inputs from PGC are added in SPA, TSA budget requirements
- Lead people input into preparation of Non-Binding Offer for selected transactions
- Accountable for identifying and highlighting key risks and align PGC & business stakeholders on Risk mitigation
- Enable resourcing discussions for PGC workstreams and serve as the point of contact for all people-related elements of a transaction
- Enable day 1 PGC Readiness in collaboration with respective People Heads
- Continuously track people metrics to measure the success of a transaction particularly post deal outcomes for teams joining HSBC
- Lead Tracking & reporting of progress of different M&A transactions and highlight key risks to relevant PGC/business stakeholders
- Support in building HR capability of M&A processes, upskilling internal teams and building institutional knowledge for future transactions
To be successful you will:
Experience
- Experience in M&A for more than 10 years managing large transactions in financial services or highly regulated organisations
- Experience in delivering large complex M&A assignments across different markets
- Experience in leading cross-functional teams and managing C-suite expectations.
- Experience in Program management of large transactions
- Change Management expert
Business / Commercial knowledge
