The Governance team (part of the People, Governance and Communications Function) serves as principal advisor to boards of directors on corporate governance matters and leads and implements a world-class corporate governance practice throughout the HSBC Group through end-to-end corporate governance advice. The Global Governance team consists of c.240 employees across 25 countries. It is led globally by the Group Chief People and Governance Officer who reports directly to the Group CEO. The HSBC UK Governance team (a total of 8) is led by the HSBC UK Company Secretary and supports the HSBC UK Board and its committees, executive committees and its subsidiaries in all aspects of world class corporate governance and company secretarial services.
We are currently seeking a professional to join the HSBC UK Governance team in the role of Assistant Company Secretary. You will report to the Head of Risk, Nominations and Remuneration Governance, HSBC UK.
In this role, you will:
- Provide broad corporate governance guidance and support to HSBC UK, its subsidiaries, directors and executive management.
- Research and assist with drafting Board and committee papers as required.
- Providing Board, Board committee and executive governance meeting support, as required, including drafting agendas, annual agenda planners, paper guidance, meeting pack collation and distribution and following up actions.
- Support on annual reviews of the terms of reference, board and committee effectiveness and support board and board committee evaluations.
- Review and processing Powers of Attorney requests.
- Support on HSBC UK Non-executive Director Board appointments including inductions, onboarding and enhanced vetting.
- Assist with the HSBC UK Governance team’s interim and annual financial reporting processes and procedures including supporting the drafting of relevant disclosures
- Undertake statutory compliance activities and filings for HSBC UK and subsidiaries and verifying entity data, using the corporate database, Englobe.
To be successful in this role you should meet the following requirements:
- Qualified company secretary or lawyer with relevant experience in a fast paced, large and complex organisation
- Financial services / UK regulatory experience is desirable but not essential.
- Strong knowledge of corporate governance principles, including driving high quality governance standards.
- Strong inter-personal, organisational, process management and verbal/ written skills.
- Proven ability to work well with all levels of management, handle confidential and sensitive information, work independently, under pressure and handle multiple tasks.
- Ability to see and understand the bigger picture as well as have a keen eye for detail.
The base location for this role is Birmingham with a hybrid working pattern.
