This function leads, develops, and manages corporate governance throughout the Group. As principal advisors to the boards of directors on corporate governance matters, the team also holds responsibility for establishing and managing stock exchange listings; directing and managing shareholder meetings and equity raisings, and representing Group interests in the development of laws and regulations.

 

The Governance function serves as principal advisor to Boards of Directors on corporate governance matters and leads and implements world-class corporate governance throughout the Group.

 

The Board and Governance Support manager is responsible for working flexibly to support the provision of world class corporate governance and secretarial services to the Holdings Board, its Committees and the Group Operating Committee (“Group OpCo”) and its Committees as required.

 

We are currently seeking an experienced professional to join our team.

 

In this role, you will:

  • Working as part of a team to provide a high standard of logistical and administrative arrangements, ensuring the smooth execution of meetings (both virtual and in-person) of Holdings Board, its Committees and Group OpCo and its Committees.
  • Support the management of the annual calendar for Board and Group OpCo Governance meetings and events, liaising with NEDs.
  • Support and manage the organisation of Board and Governance events as required, working with internal and external stakeholders.
  • Provide support to Non-Executive Directors (“NED”) and Group Executives in relation to matters such as on-boarding logistics, the timely provision of information, diary management and travel arrangements, and tracking expenses for reimbursement and reporting purposed, as required.
  • Build and maintain strong positive and professional relationships with key internal and external stakeholders at all levels.
  • Acting as a proactive team member, with excellent communication skills and the ability to work flexibly with colleagues at all levels across the organisation.
  • Provide administrative services to the Beijing Office, as required.

  • Provide excellent and consistent professional support to the Holdings Board members and attendees, senior management and key stakeholders in the most efficient and effective way to achieve maximum engagement in Board and Executive governance meetings.
  • Adhere to and maintain pre-agreed budgets, cost measures and record keeping.
  • Ensure all meetings are managed in a professional manner, ensuring such events are seen as high-quality and do not result in reputational damage.

Support deliverables across regions are to a consistent professional standard.

Functional Knowledge

  • A good understanding of the Board and OpCo governance structures at HSBC.

A proven track record of being highly organised, with experience of planning and executing governance related events or similar.
