We are currently seeking an experienced professional to join our team in the role of Senior Company Secretarial Assistant
Purpose of the role:
The Governance team serves as principal advisor to boards of directors on corporate governance matters and leads and implements corporate governance practice throughout the Group. This role contributes to the development and implementation of corporate governance best practice and supports the onshore team in fulfilling required obligations.
In this role, you will:
- Contribute to the development and implementation of corporate governance frameworks and best practice in line with Group standards and relevant industry requirements.
- Arrange board and committee meetings end to end, including scheduling, agendas, papers circulation and action tracking, using approved templates and platforms.
- Collate, draft and review papers for boards and committees, and communicate clear recommendations for decision and follow up.
- Follow established processes and procedures, support statutory and regulatory obligations, and assist the onshore Governance team to meet required deliverables.
- Maintain accurate statutory records on the Group internal corporate database and ensure timely filing of statutory returns with relevant authorities.
- Provide accurate and timely company secretarial input to annual reporting documents, including statutory accounts for Group companies.
- Support annual reviews of board and committee terms of reference, effectiveness reviews and relevant governance policies.
- Identify and suggest process improvements that increase efficiency and strengthen controls across Governance activities.
To be successful you will:
- Hold a recognised Company Secretarial qualification with a minimum of six years of relevant post qualification experience.
- Demonstrate strong experience maintaining entity records and statutory registers, including experience with electronic registers where applicable.
- Have experience in international governance and compliance environments.
- Be proficient in Microsoft Office applications.
- Show a strong understanding of corporate governance principles and practical governance tools.
- Communicate clearly and confidently in writing and verbally, with strong presentation skills.
- Work well under pressure with competing deadlines, showing strong planning, prioritisation and organisation.
- Apply strong analytical skills to synthesise complex information, identify risks, and produce high quality, accurate work with attention to detail.
