  • We are currently seeking an experienced professional to join our team in the role of Assistant Legal Counsel

Purpose of the Role

Global Legal plays an important role in protecting HSBC’s reputation, helping to safeguard the organization by providing robust and comprehensive advice on legal issues and risks. Our lawyers advise senior management and the Global Businesses and Functions. They offer a range of legal skills, jurisdictional experience, and practice specialisms across all the countries and territories in which HSBC operates.

  • Market Securities Services (MSS) is part of the Bangalore Legal Department and provides advice, guidance and support to Corporate and Investment Banking (CIB) by negotiating and executing master trading documentation such as the International Swaps and Derivatives Association (ISDA) Master Agreement and Credit Support Annex (foreign exchange and derivatives trading), the Custody Agreements, Global Master Repurchase Agreement or Master Repurchase Agreement (repurchase agreement trading) and the Global Master Securities Lending Agreement (securities lending/borrowing) and other industry-standard documentation.

In this role, you will:

  • To undertake end to end negotiation and execution of Traded Market Documents such as Custody Agreements, International Swaps and Derivatives Association (ISDA) Master Agreement, Credit Support Annex (CSA), Australian Financial Markets Association (AFMA), Global Master Repurchase Agreement (GMRA), Global Master Securities Lending Agreement (GMSLA), Europe ClearedDerivatives Execution Agreement (CDEA), Compensation Agreements, Guarantees, Foreign Exchange (FX) Give Up notices and other related documents.
  • To perform enhanced research by utilizing legal and analytical skills and to undertake a detailed check of the constitutional documents for each type of counterparty based on the jurisdiction of the counterparty. This involves examining the constitutional documents, keeping in mind the home jurisdiction of the counterparty and prevailing laws across various geographies around the globe.
  • Each individual will be responsible for each case received until its completion. Individually all staff will have to display team work for efficient completion of work. Work will require quick turnaround time, involves frequent chasing and follow up with severe ownership implications. Must be able to coordinate and interact effectively between various departments across Corporate and Investment Banking (CIB) which includes critical stake holders.
  • The individual will be responsible for updating all the internal database in a timely manner
  • Understand and comply with all relevant policies and procedures issued by the Group and contained with the Group Standards Manual and relevant Functional Manuals, Desk Instructions Books and Process Guides including the Group Compliance Policy. All Mandatory Training Modules are taken up with right earnest and completed within the stipulated timelines.
  • Ensure that completed documentation provides appropriate credit and legal protection for the Bank.
  • The role holder’s primary responsibility is the timely, consistent and effective negotiation of treasury product documentation upon request from group relationship managers and group offices offering a client friendly service to both internal and external clients to help our internal clients facilitate their business.
  • Must be able to work with minimal supervision and personal ownership
  • Understanding of Common Law, especially with regard to the United Kingdom (D)

 

 

To be successful you will:

  • Law degree from a recognized Law College/University in India or Overseas
  • 2 years’ experience working in a legal process involving drafting/vetting agreements/contracts
  • Proven skills in drafting agreements/contracts
  • Strong communication skills both written and verbal
  • Ability to effectively develop a rapport across a wide range of people across all related functions
  • Must be good as a team player as well as individual contributor (E)
  • Ability to effectively communicate with the Legal team and 3rd Party Relationship Managers (E)
  • An understanding of Business and product knowledge (Global Markets) and awareness for identification of simple and complex deal structures.
